These Terms govern your use of the Play 2 Earn Sports platform. They are designed to safeguard our ecosystem so you can focus on playing, sharing, supporting teams, and giving back.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Play 2 Earn Sports Inc. (“P2E Sports,” “we,” “our,” or “us”), a corporation organized under the laws of Ontario, Canada, governing your access to and use of the Play 2 Earn Sports platform, including all websites, applications, features, and related services (collectively, the “Platform”).

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately cease use of the Platform.

2. Eligibility

2.1. Age Restrictions

  • Users must be at least 14 years old to create an account independently.
  • Users under 14 may only access the Platform through an account created and registered by a parent or legal guardian, who hereby consents to the minor’s participation. Play 2 Earn Sports does not monitor or verify who ultimately uses the account once created.

2.2. Authority

By registering, you represent and warrant that you have the legal capacity and authority to enter into these Terms.

3. User-Generated Content

3.1. Ownership

You retain ownership of content you submit, upload, post, or otherwise make available on the Platform (“User Content”).

3.2. License Grant

By submitting User Content, you hereby grant Play 2 Earn Sports Inc. a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, sublicensable license to use, reproduce, host, store, distribute, adapt, modify, publish, create derivative works from, publicly perform, publicly display, and otherwise exploit such User Content in connection with the operation, promotion, marketing, and improvement of the Platform, and in any media now known or hereafter developed.

3.3. Third-Party Distribution

Where legally permitted, you expressly grant Play 2 Earn Sports Inc. the right to publish, repost, and distribute User Content on third-party platforms, including but not limited to YouTube, Facebook, Instagram, TikTok, and other media outlets.

3.4. Representations and Warranties

  • You own or have all rights necessary to submit the User Content.
  • User Content does not infringe or violate any third-party rights (including copyright, trademark, privacy, or publicity).
  • User Content complies with all applicable laws and these Terms.

3.5. Removal Rights

Play 2 Earn Sports Inc. reserves the right, in its sole discretion, to remove, restrict, or disable access to any User Content without notice.

4. Donations and Financial Transactions

4.1. Third-Party Processors

All financial transactions, including donations, are processed by third-party payment providers (e.g., PayPal, Stripe).

4.2. Disclaimer of Responsibility

Play 2 Earn Sports Inc. does not control, manage, guarantee, or assume responsibility for donations, chargebacks, disputes, taxes, reporting, or fraud. Users are solely responsible for compliance with applicable financial, tax, and legal obligations.

4.3. Non-Agency

Play 2 Earn Sports Inc. acts solely as a technology provider and is not an agent, trustee, or fiduciary for any User.

5. Data & Player Information

  • Users may voluntarily submit personal and athletic data (e.g., height, weight, nationality, statistics). You are solely responsible for the accuracy of such data.
  • Play 2 Earn Sports Inc. disclaims all liability for the accuracy, misuse, or misrepresentation of such information by other Users or third parties.

6. Prohibited Conduct

Users shall not:

  • Upload or distribute unlawful, defamatory, obscene, harassing, infringing, or otherwise objectionable material.
  • Infringe intellectual property or proprietary rights.
  • Engage in fraud, misrepresentation, or misuse of donations.
  • Interfere with or disrupt the Platform’s operation.
  • Collect or harvest personal information from other Users without consent.

Violation may result in immediate termination of access without notice.

7. Intellectual Property (Copyright & DMCA)

7.1. Platform Content

All non-User Content (software, design, text, graphics, logos, and trademarks) is owned by or licensed to Play 2 Earn Sports Inc. and protected under intellectual property laws.

7.2. DMCA/Notice-and-Takedown

Play 2 Earn Sports Inc. complies with applicable copyright law, including the Digital Millennium Copyright Act (DMCA). Copyright owners may submit takedown requests by contacting [email protected].

7.3. Repeat Infringers

Accounts repeatedly infringing intellectual property rights may be terminated.

8. Disclaimers and Limitation of Liability

8.1. No Warranties

The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.

8.2. No Liability

To the maximum extent permitted by law, Play 2 Earn Sports Inc. disclaims all liability for:

  • Loss of profits, revenue, goodwill, or data.
  • Errors, service interruptions, or loss of content.
  • Unauthorized access to accounts or data.
  • Content of third parties or other Users.

8.3. Cap on Liability

In no event shall Play 2 Earn Sports Inc.’s total liability exceed the greater of (a) CAD $100 or (b) amounts you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Play 2 Earn Sports Inc., its affiliates, officers, employees, and partners from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of:

  • Your User Content;
  • Your use of the Platform;
  • Your violation of these Terms;
  • Your violation of any law or third-party right.

10. Termination

Play 2 Earn Sports Inc. may suspend, restrict, or terminate your account and access to the Platform, at its sole discretion and without notice, for any reason including violation of these Terms.

11. Governing Law & Arbitration

11.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict-of-law principles.

11.2. Arbitration Agreement

All disputes arising under or in connection with these Terms shall be resolved exclusively by binding arbitration administered under the rules of an independent arbitration body in Ontario, Canada, unless otherwise required by applicable law.

11.3. Class Action Waiver

You waive the right to participate in any class or collective action.

12. Modifications

We reserve the right to amend or update these Terms at any time. Notice may be provided via Platform postings, email, or other reasonable means. Continued use constitutes acceptance.

13. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Play 2 Earn Sports Inc.
  • Severability: If any provision is held unenforceable, the remaining provisions remain in full force.
  • Assignment: You may not assign rights under these Terms; we may assign without restriction.
  • Google Maps Platform: Club, school, venue, and location lookup features may use Google Maps Platform. Your use of those features is also subject to the Google Maps Platform Terms of Service and Google Terms of Service.
  • YouTube: If you use a YouTube-enabled feature, your use of that feature is also subject to the YouTube Terms of Service.

Play 2 Earn Sports Inc. – Privacy Policy

1. Introduction

This Privacy Policy (“Policy”) explains how Play 2 Earn Sports Inc. (“P2E Sports,” “we,” “our,” or “us”) collects, uses, shares, and protects information about users (“you,” “your”) in connection with our websites, mobile applications, and services (the “Platform”).

By accessing or using the Platform, you consent to the practices described in this Policy.

2. Information We Collect

2.1. Personal Information You Provide

  • Name, email, phone number.
  • Profile details (height, weight, nationality, athletic statistics).
  • Blog posts, videos, comments, or other user content.
  • Donation/payment information (processed via third-party providers).

2.2. Automatically Collected Information

  • IP address, device identifiers, browser type.
  • Usage data (logins, clicks, viewing history).
  • Cookies, pixels, and tracking technologies.

2.3. Information from Third Parties

  • Payment providers (PayPal, Stripe, etc.).
  • Social platforms (YouTube, Facebook, etc.), if you choose to link accounts.
  • Google Maps Platform, when you use club, school, venue, address, or location search.

3. How We Use Information

We use information to:

  • Operate, maintain, and improve the Platform.
  • Allow Users to post and share content, including reposting to Facebook/YouTube (where permitted).
  • Facilitate donations and transactions.
  • Personalize experiences and content recommendations.
  • Comply with legal obligations and enforce our Terms of Service.

When a club is selected through Google Maps Platform, we may retain its Place ID and the club name you entered so the affiliation can be identified. Other Google-provided listing details shown during the lookup are not copied permanently into the club profile.

YouTube API Services. An authorized platform administrator may connect the approved Play 2 Earn Sports YouTube channel. We use Google account identity and read-only YouTube channel information to verify that connection. If publishing is enabled, a user authorized for a ready club video may separately choose to upload it to that channel; connecting alone does not publish anything. We store the approved account email and identifier, channel ID, granted permissions, connection status and timestamps, and encrypted access and refresh tokens. Tokens are kept private and used for channel verification and authorized publishing only. We do not import the connected account's YouTube videos into club analysis.

You may revoke this access in your Google Account permissions. To ask about stored data or request its deletion, contact [email protected]. Google's handling of account information is described in the Google Privacy Policy.

4. Sharing of Information

We may share information:

  • With third-party service providers (payment processors, analytics providers, hosting partners).
  • With Google Maps Platform when you use a Google-powered search or location feature. Google's handling of information is described in the Google Privacy Policy.
  • With other Users (information voluntarily provided in profiles or content).
  • With social media platforms (where you or we share content).
  • With law enforcement or regulators when legally required.

We do not sell personal information to advertisers.

5. Children’s Privacy (Under 14)

  • Users under 14 may only access the Platform through an account registered by a parent or legal guardian.
  • We do not knowingly collect personal data directly from children under 14.
  • If we become aware that information was provided without verifiable parental consent, we will delete such data.

6. Your Rights

Depending on your jurisdiction, you may have the right to:

  • Access, correct, or delete your information.
  • Object to processing or request restriction.
  • Request data portability.
  • Withdraw consent at any time.

10. International Data Transfers

Your information may be transferred to, stored in, and processed in Canada, the United States, or other jurisdictions where we operate. By using the Platform, you consent to such transfers, including to jurisdictions that may not provide the same level of data protection as your home country.

11. Changes to this Policy

We may update this Policy from time to time. Updates will be effective upon posting to the Platform. Your continued use constitutes acceptance.
